Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and the developer of Optic (“Optic,” “we,” “us,” or “our”) governing your access to and use of the Optic desktop application, the Optic Envoy web service, and all related services (collectively, the “Service”). By downloading, installing, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use the Service.

1. Eligibility

You must be at least thirteen (13) years of age to use the Service. If you are between thirteen (13) and eighteen (18) years of age, you represent and warrant that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under the age of thirteen (13).

2. Description of Service

Optic is a desktop application that enables AI-powered interactions. The Service includes:

  • Optic Desktop Application:A locally installed application in which user data, including conversation history and configuration, is stored on the User's device.
  • Optic Envoy: An optional web-based companion service that enables remote access to and control of a desktop or headless Optic instance.
  • Extensions: Optional integrations with third-party tools and services that extend the functionality of the Service.

The Service is offered under a freemium model that includes a free tier with core functionality and optional paid plans with additional features, available as either one-time purchases or recurring subscriptions.

3. License Grant and Restrictions

3.1 Grant of License

Subject to your compliance with these Terms and, where applicable, your payment of the applicable fees, Optic grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Service for your personal or internal business purposes in accordance with these Terms.

3.2 License Restrictions

You expressly agree that you shall not:

  • Share, transfer, sublicense, sell, lease, lend, or otherwise make your license key or access credentials available to any third party in any form.
  • Distribute, reproduce, publish, or otherwise disseminate the Optic binaries, source code, or any derivative works thereof, whether in whole or in part.
  • Circumvent, disable, tamper with, or otherwise bypass any feature of the Service, including but not limited to the license verification system, usage restrictions, or security mechanisms.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent expressly permitted by applicable law.
  • Use the Service for any purpose that is unlawful or prohibited by these Terms, or in any manner that could damage, disable, overburden, or impair the Service.

3.3 Safeguarding Your License

You are solely responsible for safeguarding your license key and any associated access credentials. In the event that your license key is lost, compromised, or used by unauthorized third parties, you must notify us promptly and obtain a replacement license. You acknowledge and agree that Optic shall not be liable for any unauthorized use of your license key resulting from your failure to maintain its confidentiality.

4. Payment and Purchasing

4.1 Payment Platforms

Purchases of paid plans are processed through third-party payment platforms, including but not limited to the Microsoft Store and creem.io. You are solely responsible for reading, understanding, and agreeing to all terms and conditions of the applicable payment platform, including its privacy policy and terms of service, at or prior to the time of payment. Optic does not process payments directly and does not store your payment information.

4.2 Subscription Plans

Where you purchase a recurring subscription plan, your subscription will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account settings or the applicable payment platform. Fees for subscription plans are billed in advance on a recurring basis.

4.3 Refunds

Refund requests are evaluated on a case-by-case basis at our sole discretion. If you believe you are entitled to a refund, please contact us at the email address provided in Section 17.

4.4 Price Changes

We reserve the right to modify our fees upon reasonable prior notice. Any fee changes shall take effect at the beginning of your next billing cycle following such notice.

5. Third-Party Services and LLM Providers

5.1 User Obligations Regarding LLM Services

The Service enables you to connect to third-party large language model (“LLM”) service providers and extension providers using your own credentials or through features included in paid plans. Prior to using any LLM service or connecting to any extension, you are solely responsible for reading, understanding, and agreeing to all applicable agreements of such providers, including their privacy policies and terms of service.

5.2 Responsibility for Information Transmitted

You are solely responsible for understanding the nature and content of all information transmitted from your device to LLM service providers and extension providers through the Service. You represent and warrant that you have the legal right to transmit such information and that you consent to its transmission. Optic assumes no joint or several liability arising from the transmission of your information to third-party providers.

5.3 AI-Generated Content

You acknowledge that content generated by LLM services may be inaccurate, incomplete, misleading, or otherwise unsuitable. Optic makes no representations or warranties of any kind, whether express, implied, or statutory, regarding the accuracy, reliability, completeness, or fitness for purpose of any AI-generated content. Optic assumes no legal liability whatsoever for any losses, damages, or adverse consequences incurred by you or any third party as a result of reliance upon AI-generated content.

5.4 Intellectual Property Rights of LLM Output

The intellectual property rights pertaining to content generated by LLM services shall be determined solely in accordance with the terms and conditions of the applicable LLM service provider. Optic makes no claim of ownership over AI-generated content and bears no joint liability with respect to intellectual property disputes arising therefrom.

6. Optic Envoy

The Optic Envoy feature utilizes third-party infrastructure services, including Netlify (web hosting), Upstash (session management), and Ably (real-time messaging). Prior to using Optic Envoy, you are solely responsible for reading, understanding, and agreeing to all applicable agreements of these platforms, including their privacy policies and terms of service. By using Optic Envoy, you expressly consent to Optic's use of these platforms to implement and deliver the Envoy feature.

7. User Responsibilities and Assumption of Risk

7.1 Understanding of Actions

You expressly acknowledge and agree that you understand the implications of all actions taken while using the Service and that you are solely responsible for the consequences resulting therefrom. You are responsible for carefully reading and heeding all warning information, cautionary notices, and risk disclosures provided by the Service.

7.2 Compliance with Law

You shall not use the Service for any purpose that is unlawful under the laws of your jurisdiction or any other applicable jurisdiction. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and third-party agreements.

8. Acceptable Use

In addition to the restrictions set forth elsewhere in these Terms, you agree not to:

  • Use the Service to generate, store, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable under applicable law.
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or any computer systems or networks connected to the Service.
  • Use the Service to develop, train, or improve competing products or services without our prior written consent.
  • Interfere with or disrupt the integrity, security, or performance of the Service.
  • Use the Service in a manner that violates any third-party AI provider's usage policies or acceptable use guidelines.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.

9. Intellectual Property

9.1 Ownership

The Service, including its design, features, user interface, and underlying technology, is and shall remain the exclusive property of Optic and is protected by applicable intellectual property laws. These Terms do not convey to you any right, title, or interest in or to the Service, except for the limited license expressly granted herein.

9.2 User Content

You retain all ownership rights in any content you create, upload, or input into the Service (“User Content”). By using the Service, you grant Optic a limited, non-exclusive license to process your User Content solely as necessary to provide the Service to you.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT GENERATED BY LLM SERVICES THROUGH THE SERVICE. OPTIC ASSUMES NO LEGAL LIABILITY FOR ANY LOSSES INCURRED BY USERS IN CONNECTION WITH THEIR USE OF THE SERVICE OR RELIANCE UPON AI-GENERATED CONTENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPTIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF OPTIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN THE EVENT THAT OPTIC IS FOUND LIABLE FOR DAMAGES PURSUANT TO THE LAWS AND REGULATIONS OF THE APPLICABLE JURISDICTION, OPTIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE ACTUAL FEES PAID BY YOU TO OPTIC FOR THE SERVICE GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Optic from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right, including the terms of any LLM service provider or extension provider; (d) your User Content; or (e) any unauthorized use of your license key.

13. Enforcement and Termination

13.1 Violation of Terms

If you violate any provision of these Terms, Optic reserves the right, at its sole discretion, to issue a warning, suspend your access, and/or permanently revoke your license without refund. Any adverse consequences resulting from a violation of these Terms, including but not limited to loss of access to the Service and forfeiture of paid fees, shall be borne solely by you.

13.2 Termination by Optic

We may suspend or terminate your access to the Service at any time for any reason, including but not limited to a breach of these Terms, with or without prior notice. Upon termination, all rights and licenses granted to you under these Terms shall immediately cease. Since your data is stored locally, termination of your access does not result in the deletion of data on your device.

13.3 Termination by You

You may discontinue your use of the Service at any time. If you have an active paid subscription, you may cancel it through your account settings or the applicable payment platform prior to the next renewal date.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the developer of Optic resides, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in that jurisdiction for any actions not subject to arbitration as described in Section 15.

15. Dispute Resolution

15.1 Good-Faith Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service (“Dispute”), the parties shall first attempt to resolve the Dispute through good-faith negotiation. The initiating party shall provide written notice of the Dispute to the other party, and the parties shall endeavor to resolve the Dispute within thirty (30) days of such notice.

15.2 Binding Arbitration

If the Dispute cannot be resolved through negotiation within the thirty (30) day period set forth above, either party may submit the Dispute to final and binding arbitration. The arbitration shall be conducted by a single arbitrator in the jurisdiction in which the developer of Optic resides, in accordance with applicable arbitration rules and procedures. The arbitrator's decision shall be final and binding upon both parties, and judgment upon the award rendered may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted solely on an individual basis and not as a class action or other representative proceeding. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.

16. General Provisions

  • Severability: If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of Optic to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Optic in writing.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Optic with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
  • Assignment: You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Optic. Optic may assign these Terms without restriction.
  • Modifications: We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service following the effective date of any modifications constitutes your acceptance of the revised Terms.
  • Notices: Any notices required or permitted under these Terms shall be provided via the Service, by email, or by posting on our official website.
